Aeries Technology Receives Notice of Defect from Nasdaq Related to Late Filing of Quarterly Report on Form 10-Q

NEW YORK, Sept. 10, 2024 (GLOBE NEWSWIRE) — Aeries Technology, Inc. (“Aeries Technology” or “the Company”) (Nasdaq: AERT), a global professional services and technology consulting partner, today announced that it has received an anticipated deficiency notification letter from the Listing Qualifications Staff of The Nasdaq Stock Market LLC (“Nasdaq”) dated September 5, 2024 (the “Notification”). The Notice indicated that the Company was in non-compliance with Nasdaq Listing Rule 5250(c)(1) (the “Listing Rule”) because it had failed to timely file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2024 (the “First Quarter Fiscal Year 2025 Form 10-Q”), as more fully described in the Company’s Notice of Late Filing on Form 12b-25 with the Securities and Exchange Commission (the “SEC”) on August 15, 2024, and because it was late in filing its Annual Report on Form 10-K for the year ended March 31, 2024 (the “Fiscal Year 2024 Form 10-K”). The Listing Rule requires Nasdaq-listed companies to timely file all required periodic reports with the SEC.

According to the notice, the company has until September 30, 2024, to submit a plan to restore compliance with the Listing Rule. Upon receipt of such a plan, Nasdaq may grant the company an extension of up to 180 calendar days from the due date of its Form 10-K for fiscal year 2024 or until January 13, 2025 to restore compliance.
